Disclaimer

Sites may include forums containing the personal opinions and other expressions of the persons who post entries on a wide range of topics. You agree to use the Sites in accordance with all applicable laws. Further, you agree that you will not use the Site for organized partisan political activities.

User Content

You also grant to Rockant, Inc.  the right to sub-license these rights, and the right to bring an action for infringement of these rights.

Your user content must not be illegal or unlawful, must not infringe any third party’s legal rights, and must not be capable of giving rise to legal action whether against you or Rockant, Inc., or a third party (in each case under any applicable law).

You must not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

Rockant, Inc. reserves the right to edit or remove any material submitted to this website, or stored on Rockant Inc.’s servers, or hosted or published upon this website.

Notwithstanding Rockant, Inc.’s rights under these terms and conditions in relation to user content, Rockant, Inc. does not undertake to monitor the submission of such content to, or the publication of such content on, this website.

User Accounts

In order to fully participate in all Site activities, you must register for a personal account on the Site (a “User Account”) by providing an email address and a password for your User Account. You agree that you will never divulge or share access or access information to your User Account with any third party for any reason. You also agree to that you will create, use, and access only one User Account, and that you will not access the Site using multiple User Accounts.

In setting up your User Account, you may be prompted or required to enter additional information, including but not limited to your name and location. The Sites will, from time to time, offer online courses in a specific area of study or on a particular topic (an “Online Course”). Rockant, Inc.  and the instructors of the Online Courses reserve the right to cancel, interrupt or reschedule any Online Course or modify its content as well as the point value or weight of any assignment, exam or other evaluation of progress. Online Courses offered are subject to the Disclaimer of Warranties / Limitation of Liabilities section below.

Permission to Use Materials

All content or other materials available on the Sites, including but not limited to code, images, text, layouts, arrangements, displays, illustrations, audio and video clips, HTML files and other content are the property of Rockant, Inc.  and/or its participating contributors, affiliates and sponsors and are protected by copyright, patent and/or other proprietary intellectual property rights under the United States and foreign laws. Indemnity

You hereby indemnify Rockant, Inc.  its participating contributors, affiliates and sponsors and undertake to keep Rockant, Inc.  its participating contributors, affiliates and sponsors indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by Rockant, Inc.  its participating contributors, affiliates and sponsors to a third party in settlement of a claim or dispute on the advice of Rockant, Inc.  its participating contributors, affiliates and sponsors legal advisers) incurred or suffered by Rockant, Inc.  its participating contributors, affiliates and sponsors arising out of any breach by you of any provision of these Terms of Use, or arising out of any claim that you have breached any provision of these Terms of Use.

Breaches of These Terms and Conditions

Without prejudice to Rockant, Inc.,  its participating contributors, affiliates and sponsors other rights under these terms and conditions, if you breach these terms and conditions in any way, Rockant, Inc.  its participating contributors, affiliates and sponsors may take such action as Rockant, Inc.  its participating contributors, affiliates and sponsors deem appropriate to deal with the breach, including suspending your access to the website, prohibiting you from accessing the website, blocking computers using your IP address from accessing the website, contacting your internet service provider to request that they block your access to the website and/or bringing court proceedings against you.

Variation

Rockant, Inc. may revise these terms and conditions from time-to-time. Revised terms and conditions will apply to the use of this website from the date of the publication of the revised terms and conditions on this website. Please check this page regularly to ensure you are familiar with the current version.

Assignment

Rockant, Inc.  may transfer, sub-contract or otherwise deal with Rockant, Inc.’s rights and/or obligations under these terms and conditions without notifying you or obtaining your consent.

You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms and conditions.

Severability

If a provision of these Terms of Use is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. Entire Agreement

These terms and conditions constitute the entire agreement between you and Rockant, Inc.  in relation to your use of this website, and supersede all previous agreements in respect of your use of this website.

Choice of Law/Forum Selection

Sites are managed by Rockant, Inc. , located in Rockville, Montgomery County, Maryland. You agree that any dispute arising out of or relating to these Terms of Use or any content posted to a Site, including copies and republication thereof, whether based in contract, tort, statutory or other law, will be governed by the laws of the State of Maryland, excluding its conflicts of law provisions. You further consent to the personal jurisdiction of and exclusive venue in the federal and state courts located in and serving Montgomery County, Maryland as the legal forum for any such dispute.

Excluding claims for injunctive or other equitable relief, for claims related to the Rockant Inc. Sites where the total amount sought is less than five thousand U.S. Dollars ($5,000.00 USD), either Rockant, Inc. or You may elect at any point during the dispute to resolve the claim through binding, non-appearance-based arbitration. The dispute will then be resolved using an established alternative dispute resolution (“ADR”) provider, mutually agreed upon by You and Rockant, Inc. The parties and the selected ADR provider shall not involve any personal appearance by the parties or witnesses, unless otherwise mutually agreed by the parties; rather, the arbitration shall be conducted, at the option of the party seeking relief, online, by telephone, online, or via written submissions alone. Any judgment rendered by the arbitrator may be entered in any court of competent jurisdiction.
